Terms of service
1. General
These terms apply to every agreement with Uneven Bits ApS (CVR no. DK30487842, Dybbølsgade 39, 2. th., 1721 København V, Denmark) about the use of InsiderTell, a service that collects SEC insider filings, scores them and shows them with context. By creating an account or using the service, you accept these terms. If you accept them for a company, you confirm that you may bind it.
InsiderTell is offered to consumers and businesses alike. If you are a consumer in the EU, the mandatory consumer protection rules of your country apply in addition to these terms, including the right of withdrawal described in section 5.
2. Not investment advice
InsiderTell is a data and decision-support tool. Nothing on the site, in the dashboard, in emails, in the API or in any AI-written explanation is investment, financial, legal or tax advice, a recommendation to buy or sell any security, or an offer of any kind. Scores rank what a public filing says about an insider's conviction; they are not predictions. Forward returns describe what happened after past filings; they say nothing certain about the future. Insider filings are self-reported and can be late, amended or wrong.
You alone decide what to do with the information, and you bear the full risk of any investment you make. We are not a broker, investment adviser or financial institution and are not registered as one anywhere. If you need advice, ask a licensed professional.
3. The service
InsiderTell includes:
- Public pages on insidertell.com: company, insider, filing, cluster and backtest pages built from SEC EDGAR data and daily prices.
- The dashboard at app.insidertell.com: the ranked list, score components, watchlists, alerts, the daily digest, AI explanations, trade plans and exports, as your plan includes them.
- The API for the Desk plan: the same data as JSON, with keys and webhooks.
We develop the service continuously and may change, add or remove features and data sources, as long as the core of what your plan includes stays in place. We may change how signals are scored; when we do, the methodology page says so.
4. Accounts
You must give accurate information when you sign up and keep your sign-in details and API keys secure. You are responsible for what happens under your account and keys. A workspace's owner and admins decide who's a member and are responsible for what members do in it. One person, one account.
5. Plans, payment and withdrawal
- Plans: the plans and what each includes are described on insidertell.com/pricing. The free plan needs no payment.
- Billing: paid plans are billed monthly or yearly in advance, as you choose. Yearly billing costs ten months' price. Prices are in US dollars or euros and exclude VAT unless stated otherwise; VAT is added at checkout where it applies. Payment is handled by Stripe.
- Changing plan: you can upgrade at any time (the difference is prorated) and downgrade from the next period. Nothing is deleted when a plan ends; features outside the new plan stop.
- Cancelling: any time, from the billing page. The plan runs to the end of the paid period and the account goes back to free.
- Right of withdrawal (consumers in the EU): you may withdraw from a paid plan within 14 days of buying it by writing to [email protected], and we refund what you paid. By starting to use the paid features you ask us to begin the service during the withdrawal period; if you withdraw after using them, we may deduct a proportionate amount for the days used.
- Non-payment: if a payment fails and isn't settled after notice, the account goes back to the free plan.
6. Data and use
The filing data comes from SEC EDGAR and is public. The scores, components, track records, backtest, explanations and the way the data is organised are our work. You may use what you see and what the API returns for your own research, trading, products and publications, with attribution to InsiderTell where you republish our scores. You may not resell or redistribute the feed as a feed, scrape the site or dashboard, or share API keys or accounts outside your workspace.
AI explanations are written by a language model from the signal's components. They can be wrong. Read the filing.
7. Availability
We aim to keep the service running and the data fresh, but we don't promise a particular uptime, latency or completeness. EDGAR, our price feed and our other providers can be late or unavailable, and we depend on them. Planned maintenance is announced where it matters.
8. Liability
To the extent the law allows, we are not liable for any loss arising from investment decisions, from the accuracy, completeness or timeliness of filings, prices, scores, returns or explanations, or from the service being unavailable. For businesses, our total liability for any claim is limited to the fees you paid us in the twelve months before the claim, and we are never liable for indirect losses such as lost profits. For consumers, nothing in these terms limits liability that can't be limited under your country's law.
9. Termination
You can delete your account at any time. We may suspend or end an account that breaks these terms, abuses the service or the API, or hasn't paid, after notice where the law requires it. Section 2, 6 and 8 survive termination.
10. Changes to these terms
We may update these terms. The date at the top says when. Material changes are announced by email at least 30 days before they take effect for existing accounts; if you don't agree, cancel before then.
11. Law and disputes
Danish law applies. Disputes go to the courts of Denmark, with Copenhagen as the venue for businesses. Consumers in the EU can also use the courts of their own country and the European Commission's online dispute resolution platform. Contact: [email protected].
